IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CAFE RIO IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth in this section apply regardless of the form of the action (whether in contract, tort, negligence, strict liability, or otherwise) and shall survive termination or expiration of this Agreement. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Cafe Rio, its affiliates, subsidiaries, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service;
  • Your use of or inability to use the Website or Services;
  • Your submission of any content, reviews, or communications through our Website;
  • Your violation of any applicable law, regulation, or third-party right, including any intellectual property or privacy right;

You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection that you may have to the laying of venue in such courts or that such courts are an inconvenient forum.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. If you are a consumer located in a jurisdiction that provides mandatory consumer protection rights that cannot be waived by contract, nothing in these Terms shall limit those rights.

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Dispute"), the parties shall first attempt to resolve the Dispute informally. 13.2 Binding Arbitration

Except as set forth below, if we cannot resolve a Dispute informally, any Dispute shall be finally and exclusively resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND CAFE RIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Cafe Rio agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Small claims court actions that fall within the applicable jurisdictional limits may also be brought in small claims court rather than through arbitration.

14. Food Safety and Allergen Information

Cafe Rio takes food safety seriously and complies with all applicable federal, state, and local food safety regulations, including guidelines established by the United States Food and Drug Administration (FDA) and the United States Department of Agriculture (USDA), as well as applicable state and local health department standards.

While we make every reasonable effort to identify allergens in our menu items, we cannot guarantee that any item is free from traces of allergens due to the shared nature of our kitchen environment and potential cross-contamination during preparation. Common allergens that may be present in our facility include, but are not limited to: peanuts, tree nuts, milk, eggs, wheat, soy, fish, and shellfish. Customers with known food allergies or dietary restrictions are encouraged to consult with our staff prior to ordering. Cafe Rio disclaims all liability for allergic reactions or adverse health effects resulting from consumption of our products where the customer has not disclosed relevant dietary restrictions prior to ordering.

15. Term and Termination

19. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, or unenforceable under applicable law, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions. A waiver of any default shall not constitute a waiver of any subsequent default. All waivers must be in writing and signed by an authorized representative of Cafe Rio to be effective.

21. Entire Agreement
